Attorney Participation Agreement

1. Parties and Purpose

This Attorney Participation Agreement (“Agreement”) is entered into as of [DATE] between Beverly Hills Law Partners (“BHLP,” “we,” “us”) and the attorney or law firm identified in the signature block below (“Attorney,” “you”). This Agreement governs your participation in BHLP’s lead-matching service and your purchase of leads or lead credits.

This Agreement incorporates BHLP’s Terms of Service and Privacy Policy. On the subjects of pricing, credits, and refunds, this Agreement controls if there is any conflict.

2. The Service

  • What we provide: BHLP markets to individuals seeking legal help and connects those prospects (“Leads”) with participating attorneys based on practice area, location, and related factors.
  • What a Lead is: a Lead is the contact information and matter details submitted by a prospective client who has requested to be connected with an attorney. A Lead is a prospect inquiry, not a client, case, or guaranteed engagement.
  • Not a law firm: BHLP is not a law firm, does not provide legal advice, and does not form an attorney-client relationship. You are solely responsible for the representation of any prospect who becomes your client.
  • No guarantee: BHLP does not guarantee any number of Leads, their quality, responsiveness, or that any Lead will become a paying client.

3. Attorney Eligibility and Representations

By entering this Agreement, you represent and warrant, on an ongoing basis, that:

  • You are licensed and in good standing in each jurisdiction where you accept Leads.
  • Your participation and all client communications comply with your jurisdiction’s rules of professional conduct, including advertising and solicitation rules.
  • You will perform conflict checks and comply with all professional obligations before accepting any engagement.
  • The information you provide to BHLP (including practice areas, bar number, and states) is accurate and current.

4. Lead Delivery and Exclusivity

  • Delivery: Leads are delivered by email or another method BHLP designates, using the contact details and criteria in your profile.
  • Prompt contact: You agree to contact each Lead promptly, recognizing that speed of response strongly affects outcomes.

5. Pricing, Credits, and Payment

  • Prepaid credits: you purchase Leads in prepaid packs or as per-Lead credits. One credit is consumed per Lead delivered to you, subject to the refund/credit policy in Section 6. Current pricing is set out in Exhibit A.
  • Payment: all purchases are made in advance through our designated payment processor. Purchases are non-refundable except as expressly provided in Section 6.
  • Taxes: prices exclude any applicable taxes, which are your responsibility.
  • Changes to pricing: BHLP may change pricing prospectively on reasonable notice. Changes do not affect credits already purchased.

6. Refund and Credit Policy

A Lead may qualify for a replacement credit (not a cash refund) if it meets the criteria below and is reported within [PLACEHOLDER] hours of delivery, through the method BHLP designates:

  • [Define qualifying reasons — e.g., wrong practice area; wrong state; duplicate of a Lead already delivered to you; fake, spam, or invalid contact information; prospect never sought legal help.]
  • [Define any “unreachable” standard — e.g., no response after a set number of contact attempts across phone and email over a set number of hours.]
  • Not qualifying: a Lead does not qualify for credit merely because the prospect did not retain you, chose another attorney, or the matter was not as valuable as hoped.
  • Resolution: BHLP reviews each request in good faith and, if approved, issues a replacement credit to your balance.

 

7. Your Responsibility for Client Relationships

Once a Lead is delivered, you are solely responsible for the prospect relationship, including conflicts checks, engagement terms, fee arrangements, competent representation, and compliance with all professional obligations. BHLP has no role in and no responsibility for the attorney-client relationship or the legal services you provide.

8. Data and Confidentiality

  • Lead data use: You may use Lead information only to contact the prospect about their legal matter and may not resell, redistribute, or use it for unrelated marketing.
  • Confidentiality: each party will protect the other’s confidential business information and use it only to perform this Agreement.
  • Compliance: You are responsible for handling prospect information in compliance with applicable privacy and professional-conduct rules once it is delivered to you.

9. Use of Names and Marks

Neither party may use the other’s name, logo, or trademarks in advertising or public statements without prior written consent, except that BHLP may list your firm internally for matching and operational purposes.

10. Term and Termination

  • Term: this Agreement begins on the effective date and continues until terminated.
  • Termination: either party may terminate at any time on [PLACEHOLDER] days’ notice. BHLP may suspend or terminate immediately for breach, non-payment, or conduct that risks legal or reputational harm.
  • Effect: on termination, delivery of new Leads stops. Treatment of any unused prepaid credits on termination: [PLACEHOLDER — e.g., forfeited, refunded, or usable for a limited period].

11. Disclaimers and Limitation of Liability

LEADS ARE PROVIDED “AS IS.” BHLP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND DOES NOT WARRANT THE QUALITY, ACCURACY, OR CONVERSION OF ANY LEAD.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BHLP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, AND BHLP’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID TO BHLP IN THE [PLACEHOLDER] MONTHS BEFORE THE CLAIM.

12. Indemnification

You will indemnify and hold harmless BHLP and its owners, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your representation of any prospect or client, your communications with Leads, or your breach of this Agreement or of any professional or legal obligation.

13. General

  • Independent contractors: the parties are independent contractors; this Agreement creates no partnership, employment, joint venture, or agency relationship, and no fee-splitting or sharing of legal fees is intended or created.
  • Governing law: this Agreement is governed by the laws of the State of the region. Disputes will be resolved as provided in BHLP’s Terms of Service.
  • Entire agreement: this Agreement, with the incorporated Terms of Service and Privacy Policy and Exhibit A, is the entire agreement on its subject and supersedes prior discussions.
  • Amendment: BHLP may update this Agreement prospectively on reasonable notice; continued participation constitutes acceptance.
  • Severability & waiver: if any provision is unenforceable, the rest remains in effect; no failure to enforce is a waiver.

14. Acceptance
